Facilitator Agreement — The Pros Pros™
Effective date: October 25, 2026
This Facilitator Agreement is between In Place Impact, LLC, a South Carolina limited liability company doing business as The Pros Pros™ (“Company”), and the school, district or youth organization named below (“Facilitator”).
1. How The Pros Pros™ Works
1.1 The Pros Pros™ is a career-learning platform. Facilitators host webinars in which working professionals (“Pros”) talk about their careers, much as a school invites a plumber, firefighter or parent in as a guest speaker to discuss careers, using content Company licenses to Facilitator much as a school licenses curriculum.
1.2 Adults only. Only people aged 18 or older may hold accounts. Youth do not create accounts, log in, post, chat or submit anything. They watch webinars on a screen run by Facilitator’s staff, like a classroom video. Webinars are live and visual; the presenter may see the classroom or audience, just as a guest speaker would.
1.3 Family follow-up. If a young person wants to go further, a parent or guardian may create their own adult account to rewatch the archive, start a career-path journey, research schools and, if they choose, contact a Pros School. That account belongs to the parent and is governed by the Platform’s Terms of Service and Privacy Policy, not by this Agreement. Facilitator does not create, manage or approve parent accounts. Parents and guardians deal directly with any school they choose from lists on The Pros Pros™.
1.4 Scope. The Pros Pros™ only facilitates access to webinars and access to Pros Schools (trade schools and other schools teaching subjects or trades a student may pursue). It provides no matching with pro athletes or their Pros. Webinars are for informational purposes only.
1.5 No direct contact. The Pros Pros™ does not facilitate direct contact between any Star, Pro or Crew Member and students outside the moderated webinar. They take part only in live webinars with moderated Q&A, the same as any webinar a school hosts in class. Students may raise their hands and ask questions aloud if Facilitator allows.
2. License
2.1 For each Registration Year, Company grants Facilitator a non-exclusive, non-transferable license to show Platform webinars and content to the youth it serves, for non-commercial educational use, through its own staff accounts. Facilitator may not resell, re-post or edit the content.
2.2 Company may update, add or remove content and features. Company owns the Platform and its content; Facilitator owns its own materials and name, and lets Company list Facilitator’s name as a participating organization.
3. Facilitator Responsibilities
3.1 Supervision. An adult from Facilitator’s staff runs and supervises every viewing, as with any guest speaker or classroom video. At all times during a webinar that includes minors, at least one person aged 18 or older who works for, or legally volunteers for, Facilitator must be present. Facilitator decides who on its staff may hold an account and screens them under its own policies. Company does not run background checks on anyone; Stars and Pros have no direct contact with students outside the moderated webinar (Section 1.5).
3.2 No youth information. Facilitator will not enter any youth’s name, photo, contact details or other personal information into the Platform, and will not collect youth information for Company. Company does not need or want it. Seeing youth on a live two-way video feed during a webinar is not “entering” youth information into the Platform.
3.3 Safety. Facilitator follows its own child-safeguarding and mandatory-reporting duties. It will report any safety incident or complaint involving a minor to Company immediately, through the Platform’s alert or by email to prospros@impacthubchs.com. The Platform flags and alerts Company immediately, and Company responds within 24 hours. Nothing here delays a report to law enforcement or child-protective authorities.
3.4 Eligibility and insurance. Facilitator will stay legally registered and in good standing for its appropriate niche or sector, and will tell Company if its registration or any required insurance lapses. No organization may hold an account unless it can prove it is in legal standing for that niche or sector (for example: a school licensed or chartered as such; a nonprofit in good standing with its state; a church recognized under applicable law). Every Facilitator, including public K-12 schools and districts, must confirm coverage, state each coverage amount, identify its tier and upload its certificate of insurance; self-insurance letters are not accepted.
3.5 Insurance minimums by tier. Facilitator will carry at least the following. Where a range is shown, the lower figure is the required minimum and the upper figure is recommended.
| Tier | General liability (per occurrence / aggregate) | Sexual abuse & molestation (SAM) | Umbrella / excess |
|---|---|---|---|
| A. Small volunteer youth groups and after-school clubs | $1M / $2M | $1M | $1M required; $2M recommended |
| B. Churches and mid-size nonprofits | $1M / $3M | $1M required; $2M recommended | $2M required; $5M recommended |
| C. Schools and YMCAs (high exposure) | $1M / $3M | $2M required; $5M recommended | $10M required; $25M+ recommended |
3.6 Further requirements (all tiers). (a) SAM must be dedicated coverage of at least $1M per occurrence, with no sublimit below the tier minimum, and SAM defense costs must be outside the limits. (b) Directors & officers (D&O) liability of at least $1M; employment practices liability (EPLI) is recommended. (c) Recommended, not required: participant accident/medical of $25,000–$50,000 per person, and hired and non-owned auto of $1M combined single limit where Facilitator transports youth.
3.7 Risk management. Facilitator’s insurers may require risk-management protocols (for example screening, training and two-adult rules). Because The Pros Pros™ involves no direct contact between Stars or Pros and youth outside the moderated webinar, those protocols apply to Facilitator’s own operations, and Facilitator is solely responsible for meeting them.
3.8 Use. Use is for education and youth development only, with no selling to youth or families in connection with webinars.
3.9 Partner attestation. Before using the Platform with youth, Facilitator makes written attestations in its application about child safeguarding (including abuse reporting under applicable law), background screening of everyone who interacts with youth (for which Facilitator is solely responsible), and adult supervision of minors at all times. Facilitator remains responsible for complying with all applicable state and federal laws relating to minors and takes full responsibility and liability for adherence and for any breaches.
4. Privacy
4.1 Because youth have no accounts and Facilitator enters no youth information, Company does not collect personal information from children or students through Facilitator’s use. Company collects only adult account information, as described in its Privacy Policy.
4.2 Company does not sell personal information or use it for targeted advertising, and has no access to Facilitator’s student records. Parents and guardians who create adult accounts deal directly with any Pros School or other school they choose from lists on the Platform; Company does not intermediate those contacts beyond providing the listing. If a K-12 Facilitator’s law or policy requires a data-privacy agreement, Company will consider signing the state’s standard form (for example a Student Data Privacy Consortium template) in place of this Section.
4.3 Innovate to Graduate™. Innovate to Graduate™ is offered through a separate company owned by Ms. Jenny Whittle. Any school that adopts Innovate to Graduate™ contracts directly with that company. The Pros Pros™ only puts interested schools in touch with Ms. Whittle, is not a party to that arrangement, and does not collect or receive student data for Innovate to Graduate™. Innovate to Graduate™ is not part of this Agreement or of Facilitator webinars. If The Pros Pros™ ever offers Innovate to Graduate™ online through its Platform, it will be handled like any other syllabus taught online by educational publishers, and this Agreement will be updated in writing before that happens.
5. Annual Fee
5.1 The Annual Fee is $49 per Registration Year, charged once at approval or opt-in renewal. The card is not stored. The fee covers application review and administration. The fee in effect when Facilitator applies is locked through approval. Company sets fees and may change the renewal fee only, with notice before renewal. The $49 fee is also stated in the Platform Terms of Service.
6. Liability
6.1 Disclaimer. The Platform and its content are provided “as is.” Company does not guarantee any career, admission, enrollment or outcome.
6.2 Cap. Except for a party’s indemnity duties, breach of confidentiality or data duties, or willful misconduct, each party’s total liability under this Agreement is limited to the Annual Fees paid in the 12 months before the claim, and neither party is liable for indirect or consequential damages.
6.3 Indemnity. Each party will defend and indemnify the other against third-party claims arising from its own breach of this Agreement, its own content, or the acts of its own personnel, to the extent permitted by law.
7. Term and Termination
7.1 This Agreement runs for one Registration Year from the date Company approves the Application. It renews only if Facilitator opts in and pays the next Annual Fee; nothing renews or is charged automatically. Company sends reminders 45 and 15 days before the year ends.
7.2 Either party may end this Agreement on 30 days’ written notice. Company may suspend or end it at once for a child-safety concern, a false Application, a lapse in registration or insurance, failure to prove legal standing, or a material breach. Annual Fees are non-refundable.
8. Public Institutions
8.1 If Facilitator is a public body, nothing here waives any immunity or statutory limit, Sections on indemnity and liability apply only as far as its law allows, and it may disclose this Agreement as public-records law requires.
9. General
9.1 Law and venue. South Carolina law governs, except where a public body’s own law must apply. Venue is Charleston County, South Carolina.
9.2 Notices. To Company: In Place Impact LLC, #1356, 78 Folly Road Ste B9, Charleston, SC 29407; email prospros@impacthubchs.com. Company uses no other notice address. To Facilitator: the contact in its Application.
9.3 This Agreement, the Application, and the Platform’s Terms of Service and Privacy Policy (which every account holder accepts) are the whole agreement. If they conflict, this Agreement controls. Neither party may assign it without consent, except to a successor of its business. The parties are independent; this creates no partnership or agency. Electronic signatures are valid.
