Terms of Service
Last updated: October 25, 2026
Effective date: October 25, 2026
Contracting party: In Place Impact, LLC, a South Carolina limited liability company, d/b/a The Pros Pros™ (“Company,” “we,” “us,” or “our”), until a Pros Pros LLC is formed and this agreement is assigned to it.
These Terms of Service (“Terms”) govern access to and use of The Pros Pros™ website, applications, webinars, listings, and related services (the “Platform”). By creating an account or using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.
The Platform is operated from the United States and is intended primarily for users in the United States.
You must be 18 or older to create an account. By creating an account, you confirm that you are 18 or older and that you agree to both these Terms and the Privacy Policy.
1. About The Pros Pros™
The Pros Pros™ is an educational and informational Platform that helps adults organize and attend career-oriented webinars (in the spirit of a school guest speaker or “bring a parent to career day”) and learn about Pros Schools and related resources in sports, entertainment, culture, and trades. Webinars are for informational purposes only. The Pros Pros™ does not match youth with professionals, does not recruit for schools or employers, and does not facilitate direct contact between Stars, Pros, or Crew Members and students outside a moderated webinar. The Pros Pros™ is not responsible or liable if a minor or an adult reaches out to or connects with a Star, Pro, or Crew Member on their own initiative outside the Platform.
“The Pros Pros™” is a trademark of In Place Impact, LLC. Use of the name or crest without ™ or without our permission is not allowed.
2. Eligibility — adults only
2.1 Accounts are available only to individuals aged 18 or older. Youth (anyone under 18) do not create accounts and do not log in.
2.2 Any adult may self-register for a free personal account, including parents, guardians, and homeschool parents.
2.3 Facilitator organizations and Pros Schools register under their separate written agreements with Company and pay the fees stated in those agreements (see Section 8).
2.4 By registering, you represent that you are at least 18, that the information you provide is accurate, and that you have authority to bind any organization you register on behalf of.
2.5 If we learn that an account belongs to a minor, we will close it and delete associated personal information as described in the Privacy Policy.
3. Youth participation (no youth accounts)
3.1 Youth may take part in webinars only through a partner organization (school, Pros School, facilitator, church, YMCA, or similar) that hosts the session, the same way a class hosts a guest speaker.
3.2 At all times during a webinar that includes minors, at least one person aged 18 or older who is an employee or legal volunteer of the host organization must be present.
3.3 Live two-way classroom video is allowed. Students may raise hands and ask questions aloud if the host permits. Presenters may see the classroom or audience as a guest speaker would.
3.4 A parent or guardian who wants archive access or to start a career-path journey after a webinar creates their own adult account. Minors do not log in for career-path work. Parents and guardians are responsible for the actions of anyone under 18 who uses The Pros Pros™ Platform.
3.5 Parents and guardians deal directly with Pros Schools they choose from Platform listings. Company does not broker enrollment or share student leads for a fee tied to enrollment.
3.6 Before using the Platform with youth, partner organizations make written attestations in their application about child safeguarding (including abuse reporting under applicable law), background screening of everyone who interacts with youth (for which the partner is solely responsible), and adult supervision of minors at all times. Partner organizations remain responsible for complying with applicable state and federal laws relating to minors and take full responsibility and liability for adherence and for any breaches. Partners must also meet the insurance and other requirements in their Facilitator or Pros School Agreement.
3.7 Host organization is primary for classroom participants. For webinars that include minors, the host organization (school, Pros School, facilitator, church, YMCA, or similar) is responsible for on-site supervision, its own student codes of conduct, and parent or guardian notices its policies require. Concerns or disputes about a classroom participant’s conduct or educational setting should be directed first to the host organization — the same way a school handles a guest-speaker visit. Company facilitates the Platform; it does not replace the host’s duty of care.
4. Accounts and security
4.1 Keep your credentials confidential. You are responsible for activity under your account.
4.2 Notify us promptly at prospros@impacthubchs.com if you believe your account is compromised.
4.3 We may suspend or terminate accounts for violation of these Terms, false registration information, safety concerns involving minors, or as required by law.
5. Acceptable use
You agree to use the Platform only for lawful purposes. You will not:
- Harass, bully, threaten, or exploit any person, especially minors;
- Submit false, misleading, illegal, or inappropriate content;
- Attempt to disrupt, scrape, or compromise the Platform or others’ data;
- Impersonate any person or entity;
- Use the Platform to recruit minors, arrange unmoderated private contact between Stars/Pros and students, or solicit personal contact information from minors;
- Circumvent age, attestation, or safety controls;
- Copy or redistribute Platform content except as expressly allowed.
6. Webinars and the question box
6.1 Webinars are educational and informational. Company does not guarantee career, school, athletic, or employment outcomes.
6.2 Webinars may include a moderated question box. The box does not ask for name, email, school, age, or other identifying details. An on-screen notice asks participants not to include personal information.
6.3 Questions are reviewed by a moderator before they may be shown to the presenter. Questions that include personal information, contact details, or requests for off-platform contact are not shown and are deleted when the webinar ends along with all other questions.
6.4 Questions are deleted when the webinar ends, except where Company must keep a question for a safety or legal report. If a question is submitted from a signed-in device, it is associated with that adult account. Questions are not used to identify or profile minors.
6.5 Any question or incident that suggests a risk to a minor is flagged to Company immediately under our 24-hour minor-incident alert rule. Company will notify the host organization and may, where required or appropriate, escalate to law enforcement or child-protection authorities. Company facilitates the Platform; the host organization remains responsible for on-site supervision and for following its own incident policies.
6.6 Recordings or archives, if offered, are accessed only through adult accounts.
7. Reviews of Pros Schools
7.1 Who may review. Adult (18+) account holders who attend or attended a Pros School may post honest reviews of it.
7.2 Honest reviews protected. Nothing in these Terms or any Pros School agreement restricts your right to post an honest review or penalizes you for it. We do not use, and do not let Pros Schools use, any gag clause, fee, or penalty for honest reviews (see Consumer Review Fairness Act, 15 U.S.C. § 45b).
7.3 No fake or bought reviews; no suppression. Pros Schools may not write, buy, or procure fake reviews, offer anything in exchange for a review, review themselves through staff or agents, or ask for only positive reviews. Neither we nor any Pros School will suppress, hide, or remove a review solely because it is negative. We remove reviews only under our content policy (for example illegal, abusive, or off-topic content) consistent with the FTC Consumer Reviews and Testimonials Rule, 16 CFR Part 465.
7.4 One reply. A Pros School may post one public reply to each review. It may not threaten, retaliate against, or contact a reviewer to pressure them to change or remove a review.
7.5 Your content. Reviews are user content. We do not adopt them as our own statements.
8. Fees
8.1 Personal adult accounts are free unless a paid feature is clearly offered and you opt in.
8.2 Facilitator organizations pay an annual fee currently set at $49 per year, as stated in the Facilitator Agreement. The fee is locked from application through approval; renewal fees may change with notice as set in that agreement.
8.3 Pros Schools pay the annual fee set by school type under the Pros School Agreement. Fees buy application review and listing administration only — not ranking, placement, or favorable reviews. Company may change Pros School fees at its discretion, with notice before renewal as set in that agreement.
8.4 Fees are non-refundable except as required by law or as expressly stated in the applicable agreement. Payment methods and invoicing are described at checkout or in the applicable agreement.
8.5 Innovate to Graduate™ is offered through a separate company owned by Ms. Jenny Whittle, and schools contract directly with that company (see Section 9). Innovate to Graduate™ is not available on the consumer Platform. If it is ever offered online through the Platform, it will be priced and licensed only under a separate school/district order form.
9. Innovate to Graduate™
Innovate to Graduate™ is offered through a separate company owned by Ms. Jenny Whittle. Any school that adopts Innovate to Graduate™ contracts directly with that company. The Pros Pros™ only puts interested schools in touch with Ms. Whittle.
If The Pros Pros™ ever offers Innovate to Graduate™ online through its Platform, the terms below would apply, and it would be handled like any other syllabus taught online by educational publishers.
9.1 If offered, Innovate to Graduate™ is licensed only to schools, districts, or comparable educational institutions under a separate order form / MSA with Company. It is not sold as a direct-to-minor or Outschool-style child-account consumer product.
9.2 Default: zero student personally identifiable information. Teachers or school administrators (18+) hold accounts. Students access materials through the school’s environment (LMS, teacher-projected content, or join-code sessions) without creating The Pros Pros™ consumer accounts and without sending student PII to Company by default.
9.3 If a district later requires rostered student logins, that use requires a separate written Student Data Schedule / DPA. Until then, Company does not act as a FERPA “school official” for Innovate to Graduate™ because it does not receive student education records by default.
9.4 Education-record requests. If Innovate to Graduate™ later involves student education records under a Student Data Schedule, requests to access, correct, or delete those records must go to the contracting school or district. Company will act on such records only as directed by that institution (or as required by law).
9.5 Innovate to Graduate™ school license terms do not authorize youth accounts on the consumer Platform or direct Star–student contact outside moderated webinars.
9.6 Channel or introducer commissions, if any, are handled under a separate written channel schedule.
10. Content; educational and informational use only
10.1 All webinars, materials, listings, and tools are for educational and informational purposes only. They are not legal, medical, financial, admissions, or career counseling advice. You are responsible for your own diligence before applying to schools, aid, or jobs.
10.2 Content reflects the views of presenters and authors, not necessarily those of Company.
10.3 Company uses reasonable care in listing Pros Schools and resources but remains independent of them. Company is not affiliated with, and is not paid enrollment commissions by, schools or employers solely because they appear on the Platform (Pros School annual fees cover listing administration only as disclosed). Users must review each third party’s own terms and privacy practices.
11. Intellectual property
11.1 The Platform, The Pros Pros™ name and crest, and Company content are owned by In Place Impact, LLC or its licensors and protected by trademark, copyright, and other laws. Display the ™ symbol with The Pros Pros™ name and crest as we designate.
11.2 You retain ownership of content you submit (including reviews), and you grant Company a non-exclusive, worldwide license to host, display, and use that content to operate and improve the Platform and as otherwise described in the Privacy Policy.
11.3 Do not remove proprietary notices or use our marks in a way that suggests endorsement without written permission.
12. Third-party links and services
The Platform may link to third-party sites (video hosts, schools, payment processors, etc.). We are not responsible for their content, availability, or privacy practices. Your use of them is at your own risk and subject to their terms.
13. Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE OR SPECIFIC OUTCOMES FROM WEBINARS OR LISTINGS.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.
EXCEPT FOR OBLIGATIONS THAT CANNOT BE LIMITED BY LAW, COMPANY’S TOTAL LIABILITY ARISING OUT OF THESE TERMS OR THE PLATFORM IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID TO COMPANY FOR THE PLATFORM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF YOU PAID NOTHING.
Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted by law.
15. Indemnity
To the extent permitted by law, you will defend and indemnify Company and its officers, members, and agents against claims arising from your misuse of the Platform, your content, your breach of these Terms, or (if you are a partner organization) your supervision of minors or your attestations under Section 3.6. Public bodies: indemnity applies only as far as applicable law allows.
16. Changes
We may update these Terms by posting a revised version and updating the date. Material changes will be noticed through the Platform or by email where appropriate. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Platform and close your account.
17. Governing law and venue
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules. Subject to any mandatory consumer protections where you live, exclusive venue for disputes lies in the state or federal courts located in or serving Charleston, South Carolina, and you consent to personal jurisdiction there.
18. General
18.1 These Terms, the Privacy Policy, and any Facilitator Agreement, Pros School Agreement, or Innovate to Graduate™ order form that applies to you, are the entire agreement regarding the Platform. If a signed partner agreement conflicts with these Terms on the same subject, the signed agreement controls for that partner relationship.
18.2 If any provision is unenforceable, the rest remains in effect.
18.3 You may not assign these Terms without our consent; we may assign them to an affiliate or successor (including assignment from In Place Impact, LLC to a Pros Pros LLC once formed).
18.4 No waiver is effective unless in writing.
